Think **crisp fall air, swimsuits, sauna steam, cold plunges, coffee, and house beats** — all set in the heart of **Camp North End** at Tipsy Pickle. It’s everything you love about Chilly Coffee Club, turned up a notch to celebrate one incredible year of community, connection, and growth.

Chilly Coffee Club is the first and largest wellness social of its kind in Charlotte, fostering a community of like-minded friends who love **health, house, and good vibes.**

Every ticket helps us reinvest back into the club — funding new equipment, venues, and experiences that make each event better than the last.

LEGAL NOTICE: RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNIFICATION AGREEMENT

This agreement impacts your legal rights, including your right to file a lawsuit. It contains a release of liability, an assumption of risk, and a binding arbitration clause. Please read it thoroughly before proceeding.

1. Participation Agreement

By choosing to participate in the event described below (“Event”), which includes all related activities, services, use of facilities, equipment, staff, and transportation, I acknowledge and agree to the terms outlined in this document. 

Event: Chilly Coffee Club

Participation may involve activities such as consuming food and beverages (including those containing THC and/or CBD), engaging in cold plunges, ice baths, dunk tanks, sauna sessions, compression therapy, stretching exercises, physical activities, dancing, intravenous (IV) treatments, intramuscular injections, red light therapy, social gatherings, fire pits, musical performances, chiropractic treatments, massages, and other similar activities.

By signing this agreement, I understand and agree that it applies not only to the Event described below but also to any and all future events hosted by the Released Parties that I choose to attend, without the need to sign a new agreement for each event. This waiver remains in effect unless and until expressly revoked in writing.

2. Acknowledgment of Risks

I understand that participating in the Event is entirely voluntary and involves inherent risks that cannot be fully eliminated. These risks may vary depending on the activity and may include, but are not limited to:

• Severe personal injury or death

• Paralysis or permanent disability

• Cardiovascular events (heart attacks, strokes)

• Electrical injuries

• Risks associated with extreme temperatures (hypothermia, hyperthermia, frostbite)

• Drowning or asphyxiation

• Heat-related illnesses (heat exhaustion, heat stroke)

• Injuries to eyes, joints, or bones

• Concussions or loss of consciousness

• Minor injuries (cuts, bruises, sprains)

• Allergic reactions, food-borne illnesses, choking

• Burns ranging from minor to severe

• Aggravation of existing medical conditions, including skin cancer

• Exposure to communicable diseases (e.g., COVID)

By participating, I accept and assume all risks, known and unknown, associated with the Event. I confirm that I do not have any medical conditions that would be adversely affected by these activities and have either consulted a healthcare professional or chosen to participate without such consultation.

3. Acknowledgment of Environmental Hazards and Responsibility

I acknowledge that the Event may involve exposure to surfaces with standing water, ice, or other slippery conditions, which could pose a risk of slipping, falling, or injury. I accept full responsibility for wearing appropriate footwear and exercising caution to navigate these conditions safely. 

I further understand and agree that the Released Parties are not liable for any injuries or damages arising from such hazards, nor are they responsible for identifying, marking, or calling attention to these conditions as they occur. My participation is voluntary, and I accept these risks as part of the Event.

4. Release and Waiver of Liability

In consideration of being allowed to participate in the Event, I hereby release and discharge the following entities and individuals (“Released Parties”) from any and all claims, liabilities, or damages arising out of my participation. 

The Released Parties include VAXA LLC; CHILLY LLC; Tipsy Pickle; Enventys Partners; Enventys, LLC; CLT Pickleball LLC; Tipsy Pickle; all sponsors, hosts, advertisers, service providers, and treatment providers involved in the Event; the owners and lessors of the premises where the Event occurs; and all officers, directors, employees, partners, and shareholders associated with these entities.

This release applies to any claims resulting from the negligence of the Released Parties and includes personal injury, death, property damage, and any other type of loss or harm.

5. Indemnification Agreement

I agree to indemnify and hold harmless the Released Parties from any claims, actions, damages, or liabilities arising from my participation in the Event or any breach of this agreement. This includes covering all costs and expenses incurred by the Released Parties, such as attorney fees and court costs.

6. Certification of Age

I certify that I am at least 18 years old at the time of agreeing to this document. I understand that individuals under the age of 18 are not permitted to participate in or attend the Event, regardless of parental or guardian accompaniment. My electronic signature confirms my eligibility based on this age requirement.

7. Consent to Use of Likeness

I grant permission to the Released Parties to capture my name, image, and voice (“Likeness”) during the Event through photographs, videos, recordings, or other media (“Materials”). I consent to the use, reproduction, and distribution of these Materials for promotional, marketing, advertising, or other lawful purposes in any medium now known or later developed. I allow the editing or modification of these Materials and waive any rights to review or approve them before use. I also waive any right to compensation or royalties arising from their use.

8. Policies and Discretionary Rights

I acknowledge and agree that the Released Parties reserve the right to remove any participant from the Event at their sole discretion, without providing a reason and without any obligation to issue a refund. 

I further understand that the Event will proceed regardless of weather conditions, and the Released Parties have the sole discretion to determine whether refunds will be issued or the Event rescheduled in the event of unforeseen circumstances or events beyond their control.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state and country where the Event is held, without regard to conflict of law principles.

10. Severability Clause

If any provision of this agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

11. Electronic Signature Consent

I agree that my electronic signature or acknowledgment via checkbox is as legally binding as a handwritten signature. This electronic consent applies to all provisions of this agreement and signifies my acceptance of its terms.

12. Acknowledgment of Understanding

I affirm that I have read and fully understand this agreement. I acknowledge that I have had the opportunity to seek legal counsel and that I am waiving significant legal rights, including the right to sue the Released Parties. I confirm that I am entering into this agreement freely and voluntarily, without any inducement or assurance not expressly stated herein, and intend it to be a complete and unconditional release of all liability to the fullest extent permitted by law.

By typing my digital signature below, I acknowledge that I understand and agree to the terms and conditions outlined in this Release of Liability, Assumption of Risk, and Indemnification Agreement.
