RELEASE, WAIVER & HOLD HARMLESS AGREEMENT 
*PLEASE REVIEW CAREFULLY. IN CONNECTION WITH THIS RELEASE, WAIVER & HOLD HARMLESS AGREEMENT, YOU ARE SIGNING AWAY CERTAIN RIGHTS AND LIMITING OTHERS* PARTICPATION RISKS. I understand that My Tribe Productions LLC is providing event hosting for Ice-A-Palooza, and that this will include the opportunity for me to attend exhibits and/or participate in events which may involve physical exertion, strenuous physical activity and certain risks, including the risk of serious bodily harm or death (collectively, these events are referred to as the “Program”). By signing below, I acknowledge and agree: • I am mentally and physically fit and qualified to participate in the Program; • I have consulted with a physician regarding any limitations or medical risks that I may have in relation to the Program and/or certify that I am free voluntarily proceeding with participating in the Program with full knowledge of such limitations and medical risks; • I understand and agree that the Program involves physical exertion and strenuous physical activity and certain risks, including but not limited to, the risk of slipping on wet surfaces or ice, the risk of electrocution, the risk of drowning, the risk of hypothermia, the risk of burns, risks associated with consuming food and beverages (including choking or allergic reactions), and other potential risks of serious bodily harm or death. With full knowledge of these risks, I voluntarily choose to participate in the Program. • After fully and carefully considering all the potential risks involved (including, but not limited to, potentially severe injuries and/or death), I hereby agree: o to assume the risks and release, covenant not to sue, and discharge My Tribe Productions LLC and Midfluence LLC, and its employees, officers, agents, contractors, vendors, owners, subsidiaries, partners, sponsors, assigns, affiliates, consultants, volunteers and contractors (collectively, the “Releasees”) for any bodily injury of any kind, property damage and/or death which I may incur as a result of my participation in the Program, regardless of whether such bodily injury or death was due to negligence of any kind committed by the Releasees or otherwise; o to fully indemnify and hold harmless Releasees of all loss, liability or cost they may incur arising out of or related to my participation in the Program; o and to assume full responsibility for any bodily injury, death or property damage arising out of or related to my participation in the Program. PHOTOGRAPHY, VIDEO AND INTELLECTUAL PROPERTY. I agree that in connection with my participation in the Program, I may be photographed, recorded and/or videotaped (collectively, the “Content”) by My Tribe Productions LLC and Midfluence LLC, and its designated employees and/or agents. By participating in the Program, I agree: • My Tribe Productions LLC, and its designated employees, agents, third party vendors and/or sponsors shall have the irrevocable and unrestricted right to use and publish the Content in any manner, form, editorial, trade, advertising or medium whatsoever, including social media, the internet, and to alter and composite the same without restriction and without my inspection or approval, except that the Content may not be used for any pornographic or illegal purpose; • The Content shall be the sole property of My Tribe Productions LLC and its designated employees, agents, third party vendors and/or sponsors, and I have no ownership rights in the content whatsoever. • I have no right to additional consideration whatsoever. I release, discharge, and agree to hold harmless Releasees from any liability arising out of or in connection with the use of the Content, including any and all claims for defamation, copyright infringement, invasion of privacy or publicity and/or any other personal or property rights related to the Content. I further acknowledge that the Released Parties are not responsible or liable for any unauthorized use or piracy of the Content. COMMUNICATIONS. I understand and agree that by providing my cell phone number and/or email to My Tribe Productions LLC, I consent to receive text messages, phone calls and/or emails from Releasees (including calls from auto-dialer telephone systems and calls containing pre-recorded messages), even if this number is listed on a federal, or state DO NOT CALL registry. Although My Tribe Productions LLC will not charge me for the text messages I receive, I understand that I may have some messaging rate charges from my mobile provider. In addition, I understand that my carrier may prohibit or restrict certain Mobile features and/or certain Mobile Features may be incompatible with my carrier or mobile device. I agree that it is my responsibility to contact my carrier with questions regarding these issues. GOVERNING LAW. I understand and agree that in the event any lawsuit, arbitration or other legal proceeding is filed in connection with my participation in the Program and/or concerning the enforceability of this RELEASE, WAIVER & HOLD HARMLESS AGREEMENT, such lawsuit, arbitration or other legal proceeding shall be governed by and construed in accordance with the laws of the State of Florida (without regard to its conflicts of laws principles). Should any provision of this agreement be declared illegal or unenforceable by any court of competent jurisdiction and cannot be modified to be enforceable, such provision shall immediately become null and void, leaving the remainder of this Agreement in full force and effect. JURISDICTION & VENUE. I agree that the exclusive jurisdiction and venue for any lawsuit, arbitration or other legal proceeding relating to my participation in the Program and/or concerning the enforceability of this RELEASE, WAIVER & HOLD HARMLESS AGREEMENT shall be in the applicable state or federal courts located in Broward County, Florida, and I waive any objection to venue, personal jurisdiction and forum non-conveniens in any such courts. PREVAILING PART ATTORNEY FEES AND COSTS. In the event there is any lawsuit, arbitration or other legal proceeding relating to my participation in the Program and/or concerning the enforceability of this RELEASE, WAIVER & HOLD HARMLESS AGREEMENT, the prevailing party shall be entitled to recover all costs and reasonable attorneys’ fees incurred at all levels, including appeals and fees incurred litigating fees. WAIVER OF JURY TRIAL. EACH PARTY WAIVES ALL RIGHTS TO TRIAL BY JURY IN ANY LITIGATION RELATING TO OR ARISING OUT OF THIS AGREEMENT. I HEREBY CERTIFY THAT I HAVE READ THE FOREGOING TERMS AND AGREE TO THEM.
