GENERAL RELEASE AND WAIVER OF LIABILITY
HIT ATHLETIC, LLC

I, (“Participant”), and if such Participant is under 18 years of age, then also the parent or legal guardian of such individual (who shall also be considered a Participant), agree to this Release and Waiver of Liability (“Release and Waiver”) in consideration of participating in any activity or event affiliated with or that takes place at a Hit Athletic, LLC permanent or temporary location (“Hit Athletic, LLC Event”). Training or events that may occur at a Hit Athletic, LLC location or as an affiliated event include without limitation, individual training, group training, group classes such as boxing, spin, circuit, sprint work, agility training, yoga, baseball and other sports, events hosted by outside groups or parties, and the use of equipment, saunas, childcare or any other service.

1. Release and Waiver of Liability Including Express Release of Claims for Released Parties Past or Future Negligence. PARTICIPANT HEREBY FULLY AND FOREVER RELEASES AND DISCHARGES HIT ATHLETIC, LLC AND ITS ASSIGNEES, SUCCESSORS, AGENTS, EMPLOYEES, SPONSORS, MEMBERS, AFFILIATES, VOLUNTEERS AND ALL OWNERS OR LESSORS OF PREMISES USED IN CONNECTION WITH HIT ATHLETIC, LLC (COLLECTIVELY, THE “RELEASED PERSONS”) FROM ANY AND ALL PRESENT AND FUTURE LIABILITIES, DEBTS, OBLIGATIONS, COSTS, EXPENSES, DAMAGES, LOSSES, CHARGES, JUDGMENTS, EXECUTIONS, LIENS, CLAIMS, DEMANDS, ACTIONS OR CAUSES OF ACTION OF WHATEVER NATURE OR DESCRIPTION, IN EQUITY OR AT LAW (INCLUDING BODILY INJURY, DISABILITY, DEATH, LOSS OR DAMAGE TO PERSON OR PROPERTY RELATING IN ANY WAY TO HIT ATHLETIC, LLC (COLLECTIVELY “CLAIMS”). THIS RELEASE AND WAIVER EXPRESSLY INCLUDES A RELEASE OF “CLAIMS” OR POTENTIAL “CLAIMS” THAT HAVE ARISEN OR MAY ARISE IN THE FUTURE IN WHOLE OR IN PART FROM THE NEGLIGENCE OF THE RELEASED PERSONS. PARTICIPANT ACKNOWLEDGES AND AGREES THAT THE EFFECT OF THIS RELEASE AND WAIVER IS TO WAIVE ALL “CLAIMS” AGAINST AND RELEASE THE RELEASED PERSONS FOR THE RELEASED PERSONS’ OWN PAST AND FUTURE NEGLIGENCE, AND FOR STRICT LIABILITY, INCLUDING, WITHOUT LIMITATION, STRICT PRODUCTS LIABILITY.

2. Assumption of Risks. Participant understands, acknowledges and accepts that this Release and Waiver is intended to be binding on Participant. Participant further understands, acknowledges and accepts that participation with Hit Athletic, LLC involves certain inherent risks and dangers that may result in accidents, property loss or damage, bodily injury, disability, or death. These may result from Participant’s own actions or inactions, as well as the actions or inactions of others. Further, there may be other risks not known to Participant and not reasonably foreseeable at this time. Participant is voluntarily participating with Hit Athletic, LLC, including, but not limited to, potential participation in testing, training and competition, with full knowledge of the risks involved and accepts all risks of participation. Participant further acknowledges that any Hit Athletic, LLC Event will occur at a sports complex in which live activities and events will be occurring. Participant declares that Participant is physically fit and has the requisite skill level to participate at HIT Athletic, LLC or in a Hit Athletic, LLC Event. Participant authorizes Hit Athletic, LLC, the on-site personnel and/or a party designated by Hit Athletic, LLC to provide medical treatment to Participant, should the need arise. The Participant further agrees to pay all costs associated with such medical treatment and to defend, indemnify and hold harmless the Released Persons from any costs or claims arising from such medical treatment. Participant understands, acknowledges and accepts that he or she must provide his or her own medical insurance. Any desired life, accident, travel, property or other insurance relating to participation with Hit Athletic, LLC is solely Participant’s responsibility. Released Persons will not provide any such insurance for Participant’s benefit.

3. Equipment and Facilities. Participant acknowledges that there are no representations or warranties pertaining to the condition of the equipment and facilities or the activities taking place which may be inherently dangerous. For example, and not by way of limitation, there will be live pitchers and hitters for baseball activities. The persons participating in any activities are solely responsible for ensuring that they wear adequate safety protection.

4. Child Care. There are child care services provided while a Participant is using the facilities. The use of childcare is only temporary and only to be used while a Participant is on site. Participant is responsible for ensuring that his or her child is old enough to be left in the childcare facilities and Participant has undertaken his or her own evaluation of the childcare services to determine if they are satisfactory for his or her child.

5. Fitness For Participation. Activities occurring at the facilities will involve challenging activities that will stress Participants physically including Participant’s cardiovascular system. In advance of participating in such activities, Participant acknowledges that he or she is physically capable of engaging in such activities, and to the extent there are questions, Participant has been cleared by a competent health care provider in advance of participation. Participant is not relying upon anyone associated with Hit Athletic for the provision of any medical care or attention, including without limitation CPR.

6. Drug and Alcohol Use. The use of recreational drugs and alcohol on the premises is prohibited. Participant represents and warrants that he or she will not use drugs or alcohol prior to or during any activities at a facility. The use of drugs or alcohol in connection with activities at the facilities will create a risk of serious bodily injury or death.

7. License. Participant hereby grants to Hit Athletic, LLC permission to film, photograph, video record and otherwise record Participant’s image, voice, or any other aspect of performance at Hit Athletic, LLC and the right (but not the obligation) to use, assign, and/or license to others Participant’s name, likeness, image, biographical information, voice, and/or photograph, in whole or in part (“Rights”), in any media in any manner now known or hereafter developed throughout the world in perpetuity for any promotional, trade, publicity, or advertising purposes related to Hit Athletic, LLC or promotions without further compensation or permission. Participant hereby releases the Released Persons from any and all liabilities arising out of distortion, optical illusions, or faulty mechanical reproductions of Participant’s likeness. Participant understands and agrees that all photographic plates, negatives, and recordings containing Rights are and shall be the property of Released Persons, and Participant has no right to inspect or approve any materials containing Rights. Participant represents that it is not necessary for Released Persons to obtain permission from or to pay any third party in connection with Rights.

8. Indemnity Including Express Indemnity for Negligence of Released Persons. Participant agrees to defend, indemnify and hold the Released Persons harmless from all “Claims,” actions, damages, judgments, or liabilities that may be asserted against Released Persons by, through or under Participant or his or her family or heirs and arising out of or relating to Participant’s participation in activities with Hit Athletic, LLC. These defense and indemnity obligations apply whether the matter is for personal injuries or death, damage to property, economic loss, or some other requested relief, and even to the extent that any such damage or injury may be caused, proximately or remotely, in whole or in part, by an act or omission of the Released Persons. THIS INDEMNITY OBLIGATION EXPRESSLY INCLUDES ANY “CLAIMS” OR POTENTIAL “CLAIMS” THAT MAY HAVE ARISEN OR MAY ARISE IN THE FUTURE, IN WHOLE OR IN PART FROM THE NEGLIGENCE OF THE RELEASED PERSONS. FURTHERMORE, THIS INDEMNITY OBLIGATION INCLUDES “CLAIMS” OR ALLEGATIONS AGAINST THE RELEASED PERSONS FOR PAST OR FUTURE STRICT LIABILITY, INCLUDING WITHOUT LIMITATION, STRICT PRODUCTS LIABILITY. FINALLY, THE INDEMNITY OBLIGATIONS SET FORTH HEREIN SHALL SURVIVE THE DEATH OF PARTICIPANT AND BECOME AN OBLIGATION OF HIS OR HER ESTATE.

9. Enforcement and Arbitration. Participant understands, acknowledges, and accepts that this Release and Waiver is intended to be as broad and inclusive as permitted by the laws of the state of Texas and agrees that if any portion of this Release and Waiver is invalid, the remainder will continue in full legal force and effect. Participant further agrees that any claims or legal proceedings related in whole or in part to Hit Athletic, LLC, any agreement with HIT Athletic, LLC or this Release and Waiver shall take place in Austin, Texas and be decided by binding arbitration under Tex. Civ. Prac. & Rem. Code Chapter 171.
 
COVID-19 ADDENDUM TO WAIVER OF LIABILITY
1. In consideration of utilizing HIT Athletic LLC, I hereby, for myself, my spouse, my immediate family members, my estate, heirs, administrators, executors, and assigns (the “Member Parties”), HEREBY RELEASE, FOREVER DISCHARGE, AND HOLD HARMLESS HIT Athletic LLC, its board members, employees, representatives, agents, and volunteers (collectively, the “Releasees”) from any and all liability and responsibility whatsoever, however caused, for any and all damages, claims, demands, or causes of action that any of the Member Parties may have for any loss, illness, personal injury, death, or property damage arising out of, connected with, or in any manner pertaining to my presence, or the presence of my spouse or immediately family members, in, on, or upon the property of HIT Athletic LLC in any way related to the COVID-19 Pandemic.

2. I acknowledge and understand that there are potential risks and hazards associated with utilizing HIT Athletic facilities during the pendency of the COVID-19 Pandemic. My utilization of the HIT Athletic facility is voluntary and I voluntarily assume all risks and responsibility for loss, property damage, illness, and personal injury, in any way related to the COVID-19 Pandemic, including death whether caused by negligence of the Releasees’ accidents, omissions, or otherwise.

3. I expressly agree to indemnify and hold harmless the Releasees from any loss, liability, damage, judgment, settlement, or costs, including court costs and attorney fees, or medical fees that they may incur due to my utilization of the HIT Athletic facility.

4. In consideration of allowing my children to enter the HIT Athletic facility, I consent to the release and agree that its terms shall likewise bind me, my child, and my children’s estate, heirs, administrators, executors, or assigns. I hereby release and shall defend, indemnify, and hold harmless the Releasees from every claim and any liability my children may allege against the Releasees as a direct or indirect result of injury or death to my children because of my children’s entry into HIT Athletic facility in any way related to the COVID-19 Pandemic, whether caused by the negligence of the Releasees or others. I promise not to sue Releasees on behalf of my children regarding any claim arising from my children’s entry into HIT Athletic facility.

5. In signing this agreement, I acknowledge and represent that I have read and understand it, and that I understand that by my signature I am giving up substantial rights, and voluntarily agree to be bound by it.
